OFFICAL RULES AND REGULATIONS (“Official Rules”)

NO PURCHASE NECESSARY. A PURCHASE WILL NOT INCREASE YOUR CHANCES OF WINNING. THIS CONTEST IS SUBJECT TO ALL APPLICABLE FEDERAL, PROVINCIAL AND MUNICIPAL LAWS AND REGULATIONS AND IS VOID WHERE PROHIBITED BY LAW. PARTICIPATION IN THIS CONTEST CONSTITUTES FULL AND UNCONDITIONAL AGREEMENT WITH AND ACCEPTANCE OF THESE OFFICIAL RULES.

(1) CONTEST PERIOD: Raptors x Bell In-Bound Assist Contest (the “Contest”) begins at 9:00 a.m. ET on March 26, 2024 and ends at 11:59 p.m. ET on April 15, 2024 (the “Contest Period”).

(2) ELIGIBILITY:

The Contest is only open to legal residents of Canada (the “Territory”) who are eighteen (18) years of age or older at the time of entry (each an “Entrant”). Employees and the immediate family members (including those with whom they are domiciled) of Maple Leaf Sports & Entertainment Partnership (“MLSE”), Bell Canada (“Bell”, and together with MLSE, the “Contest Sponsor”), the Toronto Raptors, the National Basketball Association and its member teams, NBA Properties, Inc., NBA Media Ventures LLC (together, the “NBA Parties”) and each of their respective parent companies, subsidiaries, affiliates, directors, officers, governors, agents, their advertising and promotional agencies (together with Contest Sponsor, the “Released Parties”) are not eligible to enter the Contest. Determinations of eligibility shall be made in the sole discretion of the Contest Sponsor.

(3) HOW TO ENTER: NO PURCHASE NECESSARY.

During the Contest Period, each Entrant must complete the following steps in order to obtain one (1) entry into the Contest draw (each an “Entry” and collectively “Entries”):

Open or download the official Toronto Raptors App (the “App”), available for iOS and Android, and click on the Contest tile (standard data rates may apply); OR

Visit the Bell In-Bound Assist Microsite: bellinboundassist.ca or fr.bellinboundassist.ca;

Vote for the charitable community organizations (“Nominee”) that you would like to win the Bell In-Bound Assist Grand Prize; and

Fill out the entry form to be eligible to win a prize.

There is a limit of one (1) vote per person during the Contest Period. An Entry will be declared invalid if they are incomplete, damaged, irregular, or mechanically or electronically reproduced. If it is discovered by the Contest Sponsor (using any evidence or other information made available to, or otherwise discovered by, the Contest Sponsor) that any person has attempted to use (or attempt to use) multiple names, identities, email addresses and/or any automated, macro, script, robotic or other system(s) or program(s) to enter the Contest more than once or to otherwise participate in or disrupt this Contest, they may be disqualified from the Contest, any future contests of the Contest Sponsor, and any votes associated with the fraudulent entries will not be counted, in the sole discretion of the Contest Sponsor.

The Contest Sponsor reserves the right, in its sole discretion, to require proof of identity and/or eligibility (in a form acceptable to the Contest Sponsor – including, without limitation, government issued photo identification): (i) for the purposes of verifying an Entrant’s eligibility to participate in this Contest; (ii) for the purposes of verifying the eligibility and/or legitimacy of an Entry entered (or purportedly entered) for the purposes of this Contest; and/or (iii) for any other reason the Contest Sponsor deems necessary, in its sole discretion, for the purposes of administering this Contest in accordance with these Official Rules. Failure to provide such proof to the satisfaction of the Contest Sponsor in a timely manner may result in disqualification of the Entrant, in the sole discretion of the Contest Sponsor.

(4) PRIZES:

Nominee Grand Prize:

There is one (1) Grand Prize (the “Grand Prize”) available to be won by one (1) of the eligible Nominees during the Contest Period. The Grand Prize consist of the following:

$100,000 CAD donation to Nominee’s charitable community organization

Voter Prizes:

There are one-hundred (100) Prizes (the “Prize” or collectively “Prizes”) available to be won during by the Entrant’s who submitted votes during the Contest Period. The prizes available to be won are listed below:

Each winner and their guest acknowledge and accept all risk of damages, injury or other loss incidental to any game for which tickets are issued, whether occurring before, during or after the game, and hereby voluntarily agree to assume the same. The Contest Sponsor reserves the right to refuse admission and/or to expel from a game and/or any other aspect of the Prize, any person whose conduct is deemed by them to be objectionable. Expulsion from the game cancels the tickets for the offending individual(s) and the individual(s) thereupon forfeit(s) all claims with respect to the tickets. Participation in the Prize is subject to compliance with all applicable laws, by-laws, regulations and any applicable facility or carrier rules; failure to comply may result in non-admission or expulsion from further participation in the Prize. All incidental costs and expenses associated with a Prize that are not specifically referred to herein, including (without limitation) transportation to and from the game, accommodation, meals, beverages (alcoholic or non-alcoholic), gratuities, souvenirs, incidental, and personal expenses, and items of a personal nature, are not included and are the sole responsibility of each winner.

The winners (defined below) are not entitled to any difference between the actual value of the Prize and the approximate retail value stated herein. Each Winner must follow all directions of the Contest Sponsor with respect to the Prizes or any aspect thereof. Failure to do so may result in termination of participation, or continued participation, in the Prizes or any aspect thereof. The Prizes must be accepted as awarded without substitution and is not transferrable, refundable, for resale or convertible to cash. The Contest Sponsor reserves the right, in the event that the Prizes, or any component of a Prize, cannot be awarded as described for any reason, to substitute the same for another prize or component of equal or greater value, without notice or liability. In the event that a substitute prize is awarded, such prize must be accepted as awarded and cannot be exchanged for cash or otherwise. The odds of winning a prize depend on the number of entries received.

(5) WINNER SELECTION:

Grand Prize Selection:

At approximately 10:00 a.m. on the next business day following the end of the Contest Period, the Nominee with the greatest number of votes will be selected (“Selected Nominee”) to win the Grand Prize. The results of the public vote will be reviewed by the Contest Sponsors. The Contest Sponsors reserve the right to make the final decision regarding which Nominee will be eligible to win the Grand Prize should it be determined that the Selected Nominee no longer meets the eligibility criteria as set out during the nomination process.

Voter Prize Selection:

At approximately 10:00 a.m. on the next business day following the end of the Contest Period, one-hundred (100) Entrants will be selected (the “Selected Entrant”) by random draw to be eligible to win a Prize. The random draw will take place at the head office of MLSE, or other such location in Ontario as MLSE may determine. There is a limit of one (1) Prize per Selected Entrant.

Each Selected Entrant/Nominee for a Prize will be notified of their selection by the contact information provided at the time of Entry. If a Selected Entrant/Nominee cannot be contacted or fails to respond within seventy-two (72) hours of the first attempt of contact by the Contest Sponsors, they will be considered to have forfeited their Prize and will be disqualified and another Entrant may be selected from the remaining eligible Entries until such time as contact is made with a Selected Entrant/Nominee or there are no more eligible Entries, whichever comes first (in which case the above-noted process will apply to such alternate Entrant). The Contest Sponsors will not be responsible for failed attempts to contact any Selected Entrant/Nominee.

(6) CLAIMING YOUR PRIZE

Grand Prize Selection:

To be declared a grand prize winner (“Grand Prize Winner”), the Selected Nominee will be required to enter into a Donation Agreement (the “Donation Agreement”) between the Selected Nominee and the Contest Sponsors (the “Parties”). The Winner will have thirty (30) days from the date that the Grand Prize was awarded to enter into the Donation Agreement, the terms of which will outline the purpose and conditions of the donation, to the mutual satisfaction of both Parties. Failure to execute the Donation Agreement within the stipulated timeframe may result in the forfeiture of the Grand Prize, and the Contest Sponsors reserves the right to select an alternate winner.

Voter Prize Selection:

To be declared a winner (“Winner”), each Selected Entrant must answer correctly, without assistance of any kind, whether mechanical or otherwise, a time-limited mathematical skill-testing question posed either by telephone or email at the telephone number or email address on the account of record for that Selected Entrant. The Selected Entrant may be required to sign a Declaration, Release and Waiver Form (the “Release Form”) confirming compliance with the Official Rules, acceptance of the Prize as awarded, without substitution, and releasing the Released Parties from any liability in connection with the Prize or the Contest.

If a Selected Entrant does not meet all of the Contest requirements, fails to correctly answer the mathematical skill-testing question or does not sign and return the Release Form to the Contest Sponsors within the time-frame specified, that Selected Entrant will forfeit their Prize and the Contest Sponsors shall be entitled (but not obligated) to select another Entrant from the remaining eligible Entries until such time as contact is made with an Entrant or there are no more eligible Entries, whichever comes first. This process may continue until each Prize has been awarded or there is insufficient time to permit the awarding of any Prize (in which case the above-noted process will apply to such alternate Entrant). The Contest Sponsors are not responsible, whether as a result of human error or otherwise, for any failure to contact any Selected Entrant. The Contest Sponsors will contact each Winner following receipt of their signed Release Form to arrange for delivery of the respective Prize.

(7) GENERAL RULES

In the event of a conflict between the Official Rules and any instructions or interpretations of these Official Rules given by an employee of the Contest Sponsor regarding the Contest, these Official Rules shall prevail. In the event of any discrepancy or inconsistency between the terms and conditions of these Official Rules and disclosures or other statements contained in any Contest-related materials, the terms and conditions of these Official Rules shall prevail, govern and control.

(8) INDEMNIFICATION

By submitting an Entry into this Contest, each Entrant confirms their understanding of and compliance with these Official Rules. Each Entrant, and their representatives, heirs, next of kin or assignees (“Entrant’s Representatives”), hereby releases and holds the Released Parties harmless from any and all liability for any injuries, loss or damage of any kind to the Entrant, Entrant’s Representatives or any other person, including personal injury, death or property damage, resulting in whole or in part, directly or indirectly, from acceptance, possession, use or misuse of any Prize, participation in the Contest, any breach of the Official Rules, or in any Prize-related activity. The Entrant and Entrant’s Representatives agree to fully indemnify the Released Parties from any and all claims by third parties relating to the Contest, without limitation.

(9) LIMITATION OF LIABILITY

None of the Released Parties assumes any liability for any incorrect or inaccurate information, whether caused by website users or by any of the equipment or programming associated with or utilized in the Contest or for any technical or human error which may occur in the processing of Entries, the selection of the Winner or for any printing or other errors in any Contest materials. The Released Parties assume no responsibility for any error, omission, tampering, interruption, deletion, defect, delay in operation or transmission, communications line failure, theft or destruction or authorized access to, or alteration of Entries. The Released Parties are not responsible for any problems, viruses or technical malfunction of any telephone network or lines, computer on-line systems, servers or providers, computer equipment, software, failure of email or Direct Messaging on account of technical problems or traffic congestion on the Internet or at any website or combination thereof, including injury or damage to Entrants or to any other person's computer related to or resulting from participating or downloading materials in the Contest.

None of the Released Parties assumes any liability for any personal injury or property damage or losses of any kind, including without limitation, direct, indirect, consequential, incidental or punitive damages which may be sustained to an Entrant's or any other person's computer equipment resulting from an Entrant's attempt to either participate in the Contest or download any information in connection with participating in the Contest or use of any website. Without limiting the foregoing, everything on any website is provided "as is" without any warranty of any kind, either express or implied, including but not limited to, the implied warranties of merchantability, fitness for a particular purpose or non-infringement.

(10) CONTEST ADMINISTRATION

All decisions regarding the Contest remain with the Contest Sponsor. The Contest Sponsor reserves the right, in its sole discretion, to modify, cancel, suspend and/or terminate any or all parts of the Contest for any reason.

The Contest Sponsor reserves the right, in its sole discretion, to disqualify any individual found to be in violation of these Official Rules. The Contest Sponsor reserves the right to refuse an Entry from a person whose eligibility is in question or who has been disqualified or is otherwise ineligible to enter. Any attempt to tamper with the entry process, interfere with these Official Rules, deliberately damage any website or undermine the administration, security or legitimate operation of the Contest, is a violation of criminal and civil laws, and the Contest Sponsor reserves the right to seek damages and/or other relief (including attorneys’ fees) from all persons responsible for such acts to the fullest extent permitted by law, which may include banning or disqualifying Entrants from this and future contests of the Contest Sponsor. In their sole determination, the Contest Sponsor may disqualify any person who acts in any manner to threaten or abuse or harass any person and to void all such person’s associated Entries. The Contest Sponsor reserves the right, in its sole discretion, to terminate or suspend the Contest should fraud, virus, bugs, or other reasons beyond the control of the Contest Sponsor corrupt the security, proper play or administration of the Contest.

(11) PRIVACY AND PUBLICITY RIGHTS

By accepting a Prize, each Winner agrees to allow MLSE and its respective subsidiaries and affiliates, promotional and advertising agencies and representatives the right to use their name, biographical information, image, photos and/or likeness and statements for programming, promotion, trade, commercial, advertising and publicity purposes in connection with this Contest, at any time or times, in all media now known or hereafter discovered, worldwide, including but not limited to on television, video, the World Wide Web and Internet, without notice, review or approval and without additional compensation, except where prohibited by law.

The Contest Sponsor respects your right to privacy. Personal information collected from Entrants will only be used by the Contest Sponsor to administer the Contest and, only if consent is actively given at the time of entry, to provide Entrants with information regarding upcoming promotions and/or events from the Contest Sponsor. (12) TRADE-MARKS

All Trade-marks are the property of their respective owners.

(13) GOVERNING LAW

The Contest shall be governed by the laws of the Province of Ontario and the federal laws of Canada applicable therein. Without limiting the generality of the foregoing, all issues and questions concerning the construction, validity, interpretation and enforceability of these Official Rules or the rights and obligations as between any person and/or Entrant and the Contest Sponsor in connection with the Contest shall be governed by and construed and interpreted in accordance with the internal laws of the Province of Ontario, Canada, including the procedural provisions of those laws, without giving effect to any choice of law or conflict of law rules or provisions that would cause the application of any other jurisdiction’s laws. The Contest Sponsor and all Entrants hereby attorn to the jurisdiction of the courts of that Province, sitting in the City of Toronto, Ontario, in respect of the determination of any matter, issue or dispute arising under or in respect of these Official Rules and/or the Contest and agree that any such determination shall be brought solely and exclusively before such courts.

The invalidity or unenforceability of any provision of these Official Rules shall not affect the validity or enforceability of any other provision. In the event that any provision is determined to be invalid or otherwise unenforceable or illegal, these Official Rules shall otherwise remain in effect and shall be construed in accordance with the terms as if the invalid or illegal provision were not contained herein.

(1) DURÉE DU CONCOURS : Le Concours des Raptors de Toronto et de Bell « Prêts à rebondir » (le « Concours ») commence à 9 h HE le 9 mars 2024 et se termine à 23 h 59 HE le 9 avril 2024 (la « Durée du concours »).

(2) ADMISSIBILITÉ :

Le Concours est réservé aux résidents autorisés du Canada (le « Territoire ») âgés de dix-huit (18) ans ou plus au moment de leur participation (chacun étant un « Participant »). Les employés et les membres de leur famille immédiate (y compris ceux avec qui ils sont domiciliés) de Maple Leaf Sports & Entertainment Partnership (« MLSE »), de Bell Canada (« Bell », et, avec MLSE, le « Commanditaire du concours »), les Raptors de Toronto, la National Basketball Association et ses équipes membres, NBA Properties, Inc., NBA Media Ventures LLC (ensemble, les « Parties de la NBA ») et chacun et chacune de leurs sociétés mères, filiales, sociétés affiliées, directeurs, dirigeants, gouverneurs, agents respectifs, ainsi que leurs agences de publicité et de promotion (ensemble avec le Commanditaire du concours, les « Parties exonérées ») ne sont pas admissibles au Concours. Les décisions d’admissibilité seront prises à l’entière discrétion du Commanditaire du concours.

(3) COMMENT Y PARTICIPER : AUCUN ACHAT REQUIS.

Pendant la Durée du concours, chaque Participant doit suivre les étapes suivantes en vue d’obtenir une (1) participation au tirage du Concours (chacune, une « Participation », et collectivement, les « Participations ») :

Ouvrez ou téléchargez l’application officielle des Raptors de Toronto (l’« Application »), disponible sur iOS et Android, et cliquez sur la tuile du Concours (des tarifs de données standard peuvent s’appliquer); OU

Consultez le microsite « Prêts à rebondir » de Bell : bellinboundassist.ca ou fr.bellinboundassist.ca;

Votez pour les organismes communautaires de bienfaisance (« Candidat ») que vous souhaitez voir gagner le Grand prix du programme « Prêts à rebondir » de Bell; et

Remplissez le formulaire de participation pour être admissible à gagner un prix.

Limite d’un (1) vote par personne pendant la Durée du concours. Une Participation sera déclarée invalide si elle est incomplète, endommagée, irrégulière ou reproduite de façon mécanique ou électronique. Si le Commanditaire du concours découvre (à l’aide de toute preuve ou autre information mise à la disposition du Commanditaire du concours ou autrement découverte par lui) qu’une personne a tenté d’utiliser (ou tente d’utiliser) plusieurs noms, identités, adresses électroniques ou tout système ou programme automatisé, macro, script, robot ou autre pour participer plus d’une fois au Concours ou pour perturber le déroulement de celui-ci, elle peut être disqualifiée du Concours, de tout autre concours futur du Commanditaire du concours, et tout vote associé aux participations frauduleuses ne sera pas comptabilisé, à la seule discrétion du Commanditaire du concours.

Le Commanditaire du concours se réserve le droit, à son entière discrétion, d’exiger une preuve d’identité ou d’admissibilité (sous une forme acceptable pour le Commanditaire du concours, y compris, mais sans s’y limiter, une pièce d’identité avec photo émise par le gouvernement) : (i) aux fins de la vérification de l’admissibilité d’un Participant à participer au présent Concours; (ii) aux fins de la vérification de l’admissibilité ou de la légitimité d’une Participation enregistrée (ou prétendument enregistrée) dans le cadre du présent Concours; ou (iii) pour toute autre raison que le Commanditaire du concours juge nécessaire, à son entière discrétion, aux fins de l’administration du présent Concours conformément au présent Règlement officiel. Le défaut de produire cette preuve à l’entière satisfaction du Commanditaire du concours de façon opportune peut entraîner la disqualification du Participant, à l’entière discrétion du Commanditaire du concours.

(4) PRIX :

Un (1) Grand prix (le « Grand prix ») peut être gagné par un (1) des Candidats admissibles pendant la Durée du concours. Le Grand prix comprend ce qui suit :

Il y a cent (100) Prix (le « Prix » ou collectivement les « Prix ») à gagner pendant la Durée du concours par les Participants qui ont soumis des votes. Les prix à gagner sont énumérés ci-dessous :

Chaque gagnant et son invité(e) reconnaissent et acceptent tous les risques de dommages, de blessures ou d’autres pertes connexes à un match pour lequel des billets sont accordés, que ceux-ci surviennent avant, pendant ou après le match, et conviennent volontairement par les présentes d’assumer ces risques. Le Commanditaire du concours se réserve le droit de refuser l’entrée ou d’expulser d’un match ou de tout autre aspect du Prix toute personne dont il juge la conduite inacceptable. L’expulsion d’un match annule les billets de la ou des personnes en cause, qui renoncent ainsi à toute réclamation relativement aux billets. La participation au Prix est assujettie au respect de toutes les lois, règlements administratifs, règlements et règles applicables de l’installation ou de l’opérateur. Le non-respect de ces dispositions peut entraîner la non-admission ou l’expulsion de toute autre participation au Prix. Tous les frais accessoires et dépenses associés à un Prix qui ne sont pas expressément mentionnés aux présentes, y compris (sans s’y limiter) le transport vers et depuis le match, l’hébergement, les repas, les boissons (alcoolisées ou non), les pourboires, les souvenirs, les frais accessoires et personnels et les articles de nature personnelle, ne sont pas inclus et sont la seule responsabilité de chaque gagnant.

Les gagnants (définis ci-dessous) n’ont droit à aucune différence entre la valeur réelle du Prix et la valeur au détail approximative indiquée aux présentes. Chaque Gagnant doit suivre toutes les directives du Commanditaire du concours concernant les Prix ou tout aspect de ceux-ci. Tout manquement à cette règle peut entraîner l’annulation de la participation ou de la poursuite de la participation aux Prix ou à tout autre aspect de ceux-ci. Les Prix doivent être acceptés tels quels sans substitution et ne peuvent être transférés, remboursés, revendus ou convertis en argent. Le Commanditaire du concours se réserve le droit, dans l’éventualité où les Prix, ou tout élément d’un Prix, ne pourraient, pour quelque raison que ce soit, être attribués de la façon décrite, de remplacer ces derniers par un prix ou un élément de valeur égale ou supérieure, sans encourir de responsabilité. Si un prix de substitution est attribué, il doit être accepté tel quel et ne peut être échangé contre de l’argent ou autrement. Les chances de gagner un prix dépendent du nombre de participations reçues.

(5) SÉLECTION DU GAGNANT :

Sélection du Grand prix :

Aux alentours de 10 h le jour ouvrable suivant la fin de la Durée du concours, le Candidat ayant obtenu le plus grand nombre de votes sera sélectionné (« Candidat sélectionné ») pour remporter le Grand prix. Les résultats du vote public seront examinés par les Commanditaires du concours. Les Commanditaires du concours se réservent le droit de prendre la décision finale concernant le Candidat qui sera admissible au Grand prix s’il s’avère que le Candidat sélectionné ne répond plus aux critères d’admissibilité tels qu’ils ont été définis au cours du processus de nomination.

Sélection du Prix des électeurs :

Aux alentours de 10 h le jour ouvrable suivant la fin de la Durée du concours, cent (100) Participants seront sélectionnés (le « Participant sélectionné ») par tirage au sort pour être admissibles à gagner un Prix. Le tirage au sort aura lieu au siège social de MLSE, ou à tout autre endroit en Ontario que MLSE peut déterminer. Il y a une limite d’un (1) Prix par Participant sélectionné.

Chaque Participant/Candidat sélectionné pour un Prix sera avisé de sa sélection au moyen des coordonnées fournies au moment de la Participation. Si un Participant/Candidat sélectionné ne peut être contacté ou ne répond pas dans les soixante-douze (72) heures suivant la première tentative de contact par les Commanditaires du concours, il sera considéré comme ayant renoncé à son Prix et sera disqualifié, et un autre Participant pourra être sélectionné parmi les Participations admissibles restantes jusqu’à ce qu’un contact soit établi avec un Participant/Candidat sélectionné ou qu’il n’y ait plus de Participations admissibles, selon la première de ces éventualités (auquel cas la procédure susmentionnée s’appliquera à cet autre Participant). Les Commanditaires du concours ne seront pas responsables des tentatives infructueuses de contact avec un Participant/Candidat sélectionné.

(6) RÉCLAMATION DU PRIX

Sélection du Grand prix :

Pour être déclaré gagnant d’un grand prix (« Gagnant d’un grand prix »), le Candidat sélectionné devra conclure une Convention de don (la « Convention de don ») entre le Candidat sélectionné et les Commanditaires du concours (les « Parties »). Le Gagnant aura trente (30) jours à compter de la date à laquelle le Grand prix a été attribué pour conclure la Convention de don, dont les modalités décriront l’objet et les conditions du don, à la satisfaction mutuelle des deux Parties. Si la Convention de don n’est pas signée dans les délais impartis, le Grand prix pourrait ne pas être attribué et les Commanditaires du concours se réservent le droit de sélectionner un autre gagnant.

Sélection du Prix des électeurs :

Pour être déclaré gagnant (« Gagnant »), chaque Participant sélectionné doit répondre correctement, sans aide de quelque nature que ce soit, mécanique ou autre, à une question d’habileté mathématique d’une durée limitée posée par téléphone ou par courriel au numéro de téléphone ou à l’adresse courriel figurant sur la participation du Participant sélectionné. Il est possible que le Participant sélectionné doive, avant de se voir accorder son Prix, signer un formulaire de déclaration et d’exonération (le « Formulaire d’exonération ») confirmant qu’il s’est conformé au présent Règlement officiel, qu’il accepte le Prix tel qu’il lui a été accordé, sans substitution, et qu’il exonère les Parties exonérées de toute responsabilité relativement au Prix ou au Concours.

Si un Participant sélectionné ne respecte pas toutes les exigences du Concours, ne répond pas correctement à la question réglementaire d’habileté mathématique ou omet de signer et de retourner aux Commanditaires du concours le Formulaire d’exonération dans les délais indiqués, ce Participant perdra son Prix et les Commanditaires du concours auront le droit (mais non l’obligation) de choisir un autre Participant parmi les autres Participations admissibles, jusqu’à ce qu’un contact soit établi avec un Participant ou qu’il n’y ait plus de Participations admissibles, selon la première de ces deux éventualités. Ce processus peut se poursuivre jusqu’à ce que chaque Prix ait été attribué ou qu’il n’y ait plus suffisamment de temps pour permettre l’attribution d’un Prix (auquel cas la procédure décrite ci-dessus s’appliquera à l’autre Participant). Les Commanditaires du concours ne peuvent être tenus responsables du défaut de communiquer avec un Participant sélectionné, que ce soit à la suite d’une erreur humaine ou autrement. Les Commanditaires du concours communiqueront avec chaque Gagnant après avoir reçu son Formulaire d’exonération signé pour prendre les dispositions nécessaires aux fins de la livraison du Prix respectif.

(7) RÈGLES GÉNÉRALES

En cas de divergence entre le présent Règlement officiel et toute instruction ou interprétation du présent Règlement officiel donnée par un employé du Commanditaire du concours concernant le Concours, le présent Règlement officiel prévaudra. En cas de divergence ou d’incohérence entre les conditions du présent Règlement officiel et les divulgations ou autres déclarations contenues dans tout matériel lié au Concours, les conditions du présent Règlement officiel prévaudront, régiront et contrôleront.

(8) INDEMNISATION

En soumettant une Participation au présent Concours, chaque Participant confirme sa compréhension du présent Règlement officiel et sa conformité à celui-ci. Chaque Participant, et ses représentants, héritiers, parents ou ayants droit (les « Représentants du participant »), par les présentes, dégagent les Parties exonérées de toute responsabilité à l’égard de toute blessure, toute perte ou tout dommage de quelque nature que ce soit au Participant, aux Représentants du participant ou à toute autre personne, y compris les blessures corporelles, décès ou dommages matériels, résultant, en tout ou en partie, directement ou indirectement, de l’acceptation, de la possession, de l’utilisation ou de l’utilisation abusive de tout Prix, de la participation au Concours, de tout manquement au Règlement officiel ou de toute activité liée au Prix. Le Participant et les Représentants du participant conviennent d’indemniser pleinement les Parties exonérées de toute réclamation de tiers liée au Concours, sans limitation.

(9) LIMITATION DE LA RESPONSABILITÉ

Aucune des Parties exonérées n’assume de responsabilité à l’égard de toute information inexacte ou incorrecte, qu’elle soit causée par les utilisateurs du site Web ou par tout équipement ou programme associé au Concours ou utilisé dans le cadre de celui-ci, ou de toute erreur technique ou humaine pouvant survenir dans le traitement des Participations ou la sélection du Gagnant ou pour toute erreur d’impression ou autre dans le matériel du Concours. Les Parties exonérées n’assument aucune responsabilité quant aux problèmes éventuels suivants : erreur, omission, falsification, interruption, suppression, défectuosité, délai de fonctionnement ou de transmission, panne de ligne de communication, vol, destruction, altération de bulletins de participation ou accès non autorisé aux bulletins de participation. Les Parties exonérées ne peuvent être tenues responsables de tout problème ou de tout virus ou toute défaillance technique concernant un réseau ou une ligne téléphonique, un système informatique en ligne, un serveur ou un fournisseur, du matériel informatique, un logiciel, une défaillance d’un système de courriel ou de la messagerie directe imputable à des problèmes techniques ou à de la congestion sur Internet ou sur un site Web, ou les deux, y compris des préjudices ou des dommages causés à l’ordinateur d’un Participant ou de toute autre personne en raison de leur participation au Concours ou du téléchargement de documents liés à ce même Concours.

Aucune des Parties exonérées n’assume de responsabilité à l’égard de tout dommage corporel ou matériel ou toute perte de quelque nature que ce soit, y compris, sans s’y limiter, les dommages directs, indirects, consécutifs, accessoires ou punitifs pouvant être subis par l’équipement informatique d’un Participant ou de toute autre personne et qui résulteraient de la tentative d’un Participant de participer au Concours ou de télécharger toute information liée à sa participation au Concours ou à l’utilisation d’un site Web. Sans limiter la portée de ce qui précède, tout ce qui figure sur un site Web est fourni « en l’état » sans aucune garantie, expresse ou implicite, y compris, mais sans s’y limiter, les garanties implicites de qualité marchande, d’adéquation à un usage particulier ou d’absence de contrefaçon.

(10) ADMINISTRATION DU CONCOURS

Toutes les décisions concernant le Concours sont du ressort du Commanditaire du concours. Le Commanditaire du concours se réserve le droit, à son entière discrétion, de modifier, d’annuler, de suspendre ou de résilier une partie ou l’ensemble du Concours pour quelque raison que ce soit.

Le Commanditaire du concours se réserve le droit, à son entière discrétion, de disqualifier toute personne ayant contrevenu au présent Règlement officiel. Le Commanditaire du concours se réserve le droit de refuser la Participation d’une personne dont l’admissibilité est en cause, qui a été disqualifiée ou qui n’est pas admissible à participer. Toute tentative d’altérer le processus de participation, d’enfreindre le présent Règlement officiel, d’endommager délibérément tout site Web, ou de nuire à l’administration, à la sécurité ou au déroulement légitime du Concours constitue une infraction aux lois criminelles et civiles, et le Commanditaire du concours se réserve le droit de réclamer des dommages-intérêts ou d’exercer tout autre recours (y compris pour les honoraires d’avocat) auprès de toutes les personnes responsables de tels actes, dans toute la mesure permise par la loi, ce qui peut inclure l’interdiction ou la disqualification des Participants à ce Concours et aux concours futurs du Commanditaire du concours. À son entière discrétion, le Commanditaire du concours peut disqualifier toute personne qui agit de quelque façon que ce soit dans le but de menacer, de maltraiter ou de harceler toute personne et peut annuler toutes les Participations associées de cette personne. (11) CONFIDENTIALITÉ ET DROITS DE PUBLICITÉ

En acceptant un Prix, chaque Gagnant convient d’autoriser MLSE et ses filiales et sociétés affiliées, agences de promotion et de publicité et représentants respectifs à utiliser son nom, ses informations biographiques, son image, ses photos ou son portrait et ses déclarations à des fins de programmation, de promotion, d’échange, de commerce, de publicité et d’annonce dans le cadre de ce Concours, à tout moment, dans tous les médias actuellement connus ou découverts à l’avenir, dans le monde entier, y compris, mais sans s’y limiter, à la télévision, sur vidéo, sur le Web et sur Internet, sans préavis, examen ou approbation et sans compensation supplémentaire, sauf dans les cas où la loi l’interdit.

Le Commanditaire du concours respecte votre droit à la protection de vos renseignements personnels. Les renseignements personnels recueillis auprès des Participants ne seront utilisés par le Commanditaire du concours que pour administrer le Concours et, seulement si le consentement est donné activement au moment de la participation, pour fournir aux Participants des renseignements sur les promotions ou les événements à venir du Commanditaire du concours. (13) LOIS APPLICABLES

Le Concours sera régi par les lois de la province de l’Ontario et les lois fédérales du Canada applicables dans cette province. Sans limiter la généralité de ce qui précède, tous les problèmes et toutes les questions concernant l’élaboration, la validité, l’interprétation ou le caractère exécutoire du présent Règlement officiel ou des droits et obligations liant la personne ou le Participant et le Commanditaire du concours concernant le Concours seront régis et interprétés en accord avec les lois de la province de l’Ontario, au Canada, y compris les clauses de procédure de ces lois, sans exécuter quelque choix de loi applicable ou de règles relatives aux conflits de loi ou de dispositions qui entraîneraient l’application de lois de tout autre territoire de compétence. Le Commanditaire du concours et tous les Participants se soumettent par les présentes à la compétence des tribunaux de cette province, siégeant dans la ville de Toronto, en Ontario, à l’égard de la détermination de toute question, de tout problème ou de tout différend découlant du présent Règlement officiel ou du Concours, et conviennent que toute décision de la sorte sera portée uniquement et exclusivement devant ces tribunaux.

Si une disposition du présent Règlement officiel est déclarée invalide ou inexécutoire, cela n’aura aucune incidence sur la validité et le caractère exécutoire de toute autre disposition. Si une disposition est jugée non valide, inexécutoire ou illégale, le présent Règlement officiel restera en vigueur et sera interprété conformément à ses conditions et modalités, comme si la disposition non valide ou illégale n’était pas contenue dans le présent Règlement.
